Terms of Service

1. About These Terms

These Terms of Service ("Terms") govern your access to and use of the services, products, hardware, software, and website provided by NaviOn Tech Solutions Pvt Ltd, registered in Nepal and operating from Pokhara-08, Kaski, Gandaki Province ("NaviOn", "we", "us", or "our"). By placing an order, signing a service agreement, registering on our platform, or using our website at navion.com.np, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use our services. These Terms apply to all customers, whether individuals or organisations.

2. Our Services

NaviOn provides the following categories of services:

  • GPS Vehicle Tracking & Fleet Management — hardware devices, SIM-based tracking subscriptions, dashcams, fuel sensors, engine lock/unlock, and fleet management software platform access.
  • CCTV Camera Installation & Surveillance — site survey, hardware supply, professional installation, NVR/DVR configuration, and optional remote monitoring setup.
  • ISP & Enterprise Networking Equipment Supply — hardware procurement, pre-sales engineering, delivery, installation, and after-sales support for routers, switches, fiber optic equipment, and access points.
  • Custom Web Design & Software Development — website design, web application development, mobile app development, e-commerce, API integrations, and ongoing maintenance.

Specific deliverables, timelines, pricing, and support obligations for each engagement are defined in the applicable service agreement, quotation, or purchase order, which forms part of these Terms.

3. Orders & Payment

All prices are quoted in Nepalese Rupees (NPR) unless otherwise stated. Prices are exclusive of any applicable government taxes unless specifically noted. NaviOn accepts payment by cash, bank transfer, eSewa, Khalti, and ConnectIPS.

For hardware products (GPS trackers, dashcams, cameras, networking equipment), full or agreed partial payment is required before installation or dispatch. For software subscriptions, recurring fees are billed monthly or annually as agreed. NaviOn reserves the right to suspend platform access if subscription fees remain unpaid for more than 15 days after the due date.

For web and software development projects, payment milestones are defined in the project agreement. NaviOn retains ownership of all deliverables until final payment is received in full.

4. Hardware, Installation & Warranty

All NaviOn GPS devices, dashcams, and related hardware carry a 1-year limited warranty from the date of installation against manufacturing defects. This warranty does not cover damage caused by misuse, tampering, accidents, unauthorised modification, or water ingress beyond the device's rated IP protection level.

Customers are responsible for providing safe and legal access to vehicles or premises for NaviOn technicians to complete installation. NaviOn is not liable for delays caused by inaccessible vehicles, incomplete site preparation, or third- party interference.

CCTV and networking equipment carries the manufacturer's warranty. NaviOn will assist with warranty claims on behalf of customers where possible but does not independently extend the manufacturer's warranty terms.

5. GPS Platform & Subscriptions

Access to NaviOn's fleet management platform is provided on a subscription basis. The subscription covers live tracking, data storage, alerts, and platform updates. Subscription fees are subject to change with 30 days' notice.

You are responsible for maintaining the confidentiality of your login credentials. Do not share account access with unauthorised parties. NaviOn is not liable for losses resulting from unauthorised access caused by your failure to protect your credentials.

SIM cards installed in GPS devices remain the property of the respective mobile network operator. Data costs associated with device operation are included in the subscription unless otherwise specified.

6. Acceptable Use

You agree to use NaviOn's services only for lawful purposes and in accordance with these Terms. You must not:

  • Use GPS tracking or CCTV footage to monitor individuals without their knowledge where required by law.
  • Tamper with, reverse-engineer, or modify NaviOn hardware or software.
  • Resell, sublicense, or share platform access without prior written consent from NaviOn.
  • Use NaviOn services in a manner that violates Nepal's applicable laws or regulations.

7. Intellectual Property

All software, platform interfaces, designs, trademarks, and content created by NaviOn remain the exclusive intellectual property of NaviOn Tech Solutions Pvt Ltd. For web and software development projects, upon receipt of full payment, NaviOn assigns ownership of the final deliverables to the client, except for any third-party components, open-source libraries, or NaviOn's proprietary tools incorporated into the project.

8. Limitation of Liability

To the maximum extent permitted by applicable law, NaviOn's total liability to you for any claim arising out of or relating to these Terms or our services shall not exceed the total amount paid by you to NaviOn in the three months preceding the claim.

NaviOn is not liable for indirect, incidental, or consequential losses including lost profits, data loss, or business interruption. NaviOn does not guarantee uninterrupted service availability, though we target 99.9% platform uptime.

9. Termination

Either party may terminate a service subscription or agreement with 30 days' written notice. NaviOn may suspend or terminate your access immediately if you breach these Terms, fail to pay outstanding amounts, or engage in conduct that NaviOn reasonably believes is harmful to other customers or NaviOn's systems.

Upon termination, your right to access the platform ceases. NaviOn will retain your data for 90 days following termination before deletion, during which you may request an export.

10. Governing Law & Disputes

These Terms are governed by the laws of Nepal. Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to the competent courts of Pokhara, Kaski, Nepal.

11. Changes to These Terms

NaviOn may update these Terms from time to time. We will notify active customers of material changes via email or platform notification at least 14 days before they take effect. Continued use of our services after the effective date constitutes acceptance of the revised Terms.
